冲压模具液压控制系统技术协议  

一、总则/ Preamble

本技术协议经买卖双方签字盖章后，作为商务合同的技术附件，与商务合同一起构成整个合同不可分割的部分。如本技术协议与商务合同存在矛盾，以商务合同为准。

Upon signature by both the Buyer and the Supplier, this agreement forms an integral part of the contract. If conflicts exist between the commercial contract with this agreement, the commercial contract shall prevail.

其它文件中引用本文时，如有可能引起歧义，则必须同时引用文件编号。

This agreement shall be quoted by the Document Code wherever mis-understanding shall occur.

本技术协议提供的是经买卖双方共同确认的基本技术要求，满足本技术协议，仅仅是成功验收的前提条件之一，卖方应保证对本协议中未规定的所有技术细节均按优质产品标准进行设计制造和安装，包括采用有效的标准、规章和公认的行业技术规范，以及遵守设备安装所在地的法律、法规、规章、规范和规定。当各种规定间存在差异时，买卖双方同意选择对买方更有利的解决方案。

This agreement is the minimal requirement of the equipment that both the Buyer and the Supplier agreed, and doesn’t mean to have included all the details. Any items not described hereby, shall apply to high quality standards, e.g. laws, standards of the government and/or standards of the category. In case conflicts between the valid standards/laws, the one which is more beneficial to the buyer shall be applied.

卖方已就本技术协议细节与买方进行了充分沟通，并已对条款的理解与买方达成充分一致。合同执行过程中(最终验收完成前)如发生理解歧义，解释权完全在买方。

If any conflict understanding occurs between the Buyer and the Supplier before Final Acceptance, the Buyer has the sole right for explanation of this agreement.
